Services
Point One : Uipro Corporation Pvt. Ltd. offers professional IT services, including Website Development, Digital Marketing, Mobile App Development, Software Development, and Email Solutions. Point two: All services are provided based on the terms and specifications agreed upon between Uipro Corporation Pvt. Ltd. and the client.
Client Obligations
Point One: The client agrees to provide accurate and complete information required for the provision of services. Point Two: Timely provision of materials, content, and approvals from the client is essential to ensure project completion within agreed timelines.
Payments
Point One: Uipro Corporation Pvt. Ltd. will provide a cost estimate or quotation for the requested services. Point Two: Payment terms and conditions will be agreed upon between Uipro Corporation Pvt. Ltd. and the client. Point Three: As an MSME certified company, Uipro Corporation Pvt. Ltd. requires that payment for services rendered be made within 15 days of the invoice date. Point Four: Failure to make timely payments may result in a delay in service delivery or suspension of services until payment is received.
Intellectual Property
Point One: All intellectual property rights related to the services provided by Uipro Corporation Pvt. Ltd. belong to Uipro Corporation Pvt. Ltd., unless otherwise agreed upon in writing. Point Two: The client retains ownership of any materials, content, or intellectual property provided by the client for the purpose of the project.
Limitation of Liability
Point One: Uipro Corporation Pvt. Ltd. will make reasonable efforts to ensure the accuracy and quality of the services provided. However, Uipro Corporation Pvt. Ltd. does not guarantee the success, profitability, or specific outcomes of the client's business resulting from the use of our services. Point Two: Uipro Corporation Pvt. Ltd. shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of our services or any third-party services recommended by Uipro Corporation Pvt. Ltd.
Amendments
Point One: Uipro Corporation Pvt. Ltd. reserves the right to modify or amend these Terms and Conditions at any time. Point Two: Any changes will be effective upon posting the updated Terms and Conditions on our website.
Governing Law and Jurisdiction
Point One: These Terms and Conditions shall be governed by and interpreted in accordance with the laws of India. Point Two: Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar.
Confidentiality
Point One: Uipro Corporation Pvt. Ltd. acknowledges the sensitive nature of client information and agrees to maintain strict confidentiality. Point Two: The client's confidential information will not be disclosed to any third party without the client's explicit consent, except as required by law.
Project Scope and Changes
Point One: The scope of work for each project will be defined in a mutually agreed-upon project proposal or agreement. Point Two: Any changes to the project scope must be agreed upon in writing by both Uipro Corporation Pvt. Ltd. and the client. Changes may result in adjustments to the project timeline and cost.
Project Delivery and Acceptance
Point One: Uipro Corporation Pvt. Ltd. will make reasonable efforts to deliver projects within the agreed timeline. Point Two: The client agrees to promptly review and provide feedback on deliverables. Failure to provide timely feedback may result in project delays.Point Three: The client must formally accept the final project deliverables in writing. Acceptance implies satisfaction with the work and deems the project as complete.
Support and Maintenance
Point One: Uipro Corporation Pvt. Ltd. may offer ongoing support and maintenance services beyond the project completion. Point Two: The terms and conditions for support and maintenance, including service levels and fees, will be outlined in a separate agreement or service-level agreement (SLA).
Termination
Point One: Either party may terminate the agreement with written notice if the other party fails to fulfill its obligations or breaches any terms of the agreement. Point Two: In the event of termination, the client is responsible for payment for services rendered up to the termination date.
Force Majeure
Uipro Corporation Pvt. Ltd. shall not be liable for any failure or delay in the performance of its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, or government regulations.
Entire Agreement
These Terms and Conditions constitute the entire agreement between Uipro Corporation Pvt. Ltd. and the client and supersede any prior agreements, understandings, or representations, whether written or oral.
Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
